For customers utilizing website hosting, website development, or other services provided by LemonHub.

This Website is owned and operated by LemonHub – Stavros Stylianou (hereinafter ‘‘LEMONHUB’’). LemonHub provides services with regard to custom application software development, website design and development, web hosting, SEO, Online Marketing and GIS programming and automation.

These Terms and conditions apply to this website and to the transactions related to our products and services. You may be bound by additional contracts related to your relationship with us or any products or services that you receive from us. If any provisions of the additional contracts conflict with any provisions of these Terms, the provisions of these additional contracts will control and prevail.

We may update these Terms and Conditions from time to time. It is your obligation to periodically check these Terms and Conditions for changes or updates. Changes to these Terms and Conditions will become effective upon such changes being posted to this website.

ACCEPTANCE

By registering with, accessing, or otherwise using this website, you hereby agree to be bound by these Terms and Conditions set forth below. The mere use of this website implies the knowledge and acceptance of these Terms and Conditions. In some particular cases, we can also ask you to explicitly agree.

It is not necessary for any Client to have signed an acceptance of these terms and conditions for them to apply. If a Client accepts a quote/proposal or sends an acceptance email message then the Client will be deemed to have satisfied themselves as to the terms applying and have accepted these terms and conditions in full. Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions. The user of this site agrees to the terms of this agreement on behalf of his or her organization or business.

PRICING & PAYMENTS

Prices for services to be provided by LemonHub are defined in the project quotation that the Client receives via e-mail. Quotations are valid for a period of 30 days. All prices quoted may be subject to change without notice after this period. Unless agreed otherwise with the Client, all website design and web development services require an advance payment of a minimum of forty (40%) percent of the project quotation total before the work starts. The remaining sixty (60%) percent of the project quotation total due must be paid upon completion of the work, prior the release of the material. Agreed charges concerning Web Hosting, Maintenance, CMS & Plug-in/Themes Updates, Email Services, Marketing Services and/or any other additional services agreed with the Client not mentioned herein, are to be paid at the beginning of each calendar year or at the beginning of the agreed time period (e.g. monthly maintenance plans).

If the Client fails to process a payment on time (15 days after invoice date), LemonHub reserves the right to discontinue, withhold or suspend services to the Client to whom such unpaid amounts relate until payment has been made in full.

Invoices are normally sent via email; however, the Client may choose to receive hard copy invoices. The Client must notify LemonHub of any changes to the invoicing address.

Payment for services is due by cheque or bank transfer. Bank and cheque details will be made available on invoices. Payments shall be made in Euro only. All prices appearing on this site are subject to change without notice.

CANCELLATIONS & REFUNDS

Termination of services by the Client must be requested in a written notice only and will be effective on receipt of such notice. The Client will be invoiced for work completed to the date of first notice of cancellation for payment in full within fifteen (15) days.

If the Client terminates the agreement, after LemonHub has undertaken the creation of a website, a cancellation fee will apply based on the stage of the creation of the website.

The Cancellation of any monthly recurring service can occur at anytime after your first month (30 days) of service. No Refunds are available after your purchased package or service has been started, unless otherwise specified by LemonHub.

The Cancellation of any annual recurring service such as website hosting and domain names can occur at anytime.

DELAYED, SUSPENDED, OR ABANDONED PROJECTS

Projects can sometimes stall as we wait for content, information, feedback, approvals, etc., that we have requested from clients. While waiting for your response, we will typically begin to work on other projects to use our time efficiently.

DELAYED PROJECT

A project is considered delayed if our request for assets, information, feedback, approvals, etc., goes without sufficient response for more than seven business days.
When a project is delayed, we may remove it from our active project queue and place it at the back of the line. Work will resume on a delayed project when we have received what was asked for, and our queue of work will allow us to focus on your project again.

SUSPENDED PROJECT

A project is considered suspended if your response to our request for assets, information, feedback, approvals, etc., is delayed for more than 45 days without a reasonable cause as determined by us.
WHEN A PROJECT IS SUSPENDED, AN INVOICE FOR THE REMAINING BALANCE WILL BE SENT AND CONSIDERED DUE UPON RECEIPT.

ONCE A PROJECT IS CONSIDERED SUSPENDED, IT IS THE SOLE RESPONSIBILITY OF THE CLIENT TO REACTIVATE THE PROJECT BY:
1. SUPPLYING ALL ITEMS NECESSARY TO COMPLETE THE PROJECT AND
2. PAYING THE BALANCE OF THE PROJECT IN FULL AND/OR PAYING A REACTIVATION FEE EQUAL TO 10% OF THE PROJECT TOTAL.
IF THE PROJECT IS ALREADY PAID IN FULL, THE 10% REACTIVATION FEE STILL APPLIES.

After a project is considered suspended, we will only perform additional work once the project has been reactivated, as explained above.

ABANDONED PROJECT

A project is considered abandoned if your response to our request for assets, information, feedback, approvals, etc., is delayed for more than 90 days without a reasonable cause, as determined by us.
WHEN A PROJECT IS ABANDONED, THE FULL AMOUNT DUE IS STILL OWED.

WEBSITE CONTENT

During the website design process or any maintenance plan the Client must provide the content to be used. The Client will provide and authorize LemonHub to publish the website content, logos, text, images, video and audio files. The Client is responsible to make sure that the content it provides is not illegal and that it does not violates any legal rights. LemonHub has no any responsibility or liability over any content published in the Client’s website.

CLIENT REVIEW

The Client will have the opportunity to review the appearance and the content of his/her website during the design phase (max 3 reviews) and when the overall website development is completed. At the completion of the project, will be deemed to be accepted and approved unless the Client notifies LemonHub otherwise within one week (7 days) of the date the final project is made available to the Client. Any requests for changes on the final project after the delivery to the Client will be charged extra.

WEB BROWSER COMPATIBILITY

LemonHub makes every effort to ensure that websites are designed to be accessible by the majority of visitors. Websites are designed to be compatible with the most popular current browsers (e.g. Firefox, Edge, Chrome, etc.). Client agrees that LemonHub cannot guarantee correct functionality with all web browsers across different operating systems. LemonHub cannot accept responsibility for a web page that does not display acceptably in new versions of browsers released after the website has been delivered to the Client. As such, LemonHub reserves the right to quote for any additional work involved in making the website to work with any new or updated browser software.

THIRD-PARTY OR CLIENT-PAGE MODIFICATION

With a content management system (CMS) based website, the client will be responsible to edit or update his/her web pages after completion of the website, unless otherwise agreed. If anyone other than LemonHub attempts to update the website and damages the design or the functionality of the website, the cost to repair the web pages will be assessed based on the urgency of the request and the problem extent beyond the cost paid in the monthly care plan.

REFUSAL OF SERVICE

LemonHub reserves the right to refuse service to any individual, website, or blog that contain offensive, obscene, hateful or malicious content, for any other reason.

COPYRIGHT

The copyright of the data, logos, text, images, video, audio and other materials, provided by the Client stays with the Client, and the Client grants to LemonHub the license to reproduce and use such material.

The Client must obtain the rights to use any material that is copyrighted by a third party. The Client is further responsible for granting LemonHub permission to use such material and agrees to indemnify and hold harmless LemonHub from any and all claims resulting from the Client’s negligence or inability to obtain proper copyright licenses. The Client shall have full liability for the consequences of the content of the project/website commissioned. LemonHub does not assume any responsibility or liability for the content of the websites it manages, maintains and/or hosts.

Website design, graphics, programming and other material produced by LemonHub remain the intellectual property of LemonHub. These are released for use to the Client for the specific intended purpose as per this document, single use license. The final assembled work for the Client produced by LemonHub is owned by the Client. Rights to images, graphics, original work-up files, and software are not transferable to the Client, and remain the property of their respective owners.

The Client is responsible for all actions necessary regarding the copyright protection for the work created by LemonHub for the Client (e.g. trademark, logo registration, etc.).

The Client agrees that material such as logos, graphics and other visuals from the project/website developed for the Client may be presented in LemonHub’s portfolio or be used for other marketing purposes. The logo of LemonHub with a link to LemonHub’s website will be placed at an agreed position visible from all web pages, normally at the footer, on the Client’s website to inform visitors that LemonHub is the creator of the website. The LemonHub logo will be designed to fit in with the overall site design. The Client will only remove such credit and link from his or her website with LemonHub’s approval.

WARRANTIES & LIABILITY

Although there are limitations to the guarantees we can provide, your satisfaction is a top priority for us. Please read and understand our limits of liability before ordering services.

This website and all content on the website are provided on an “as is” and “as available” basis and may include inaccuracies or typographical errors. We expressly disclaim all warranties of any kind, whether express or implied, as to the availability, accuracy, or completeness of the Content. We make no warranty that this website or our content will meet your requirements and that this website will be available on an uninterrupted, timely, secure, or error-free basis. In no event will we be liable for any direct or indirect damages (including any damages for loss of profits or revenue, loss or corruption of data, software or database, or loss of or harm to property or data) incurred by you or any third party, arising from your access to, or use of, our website.

LemonHub will not be liable for any direct or indirect damages or loss of profits or any similar damage as a result of delay of deadlines in a project/website/task, problems with the hosting provider, Internet issues and server down time, corruption, attack, viruses, interference, hacking or other security intrusions, any inaccuracy or omission, negligence, natural disasters and or any cause beyond the control of LemonHub.

You expressly agree that your use of, or inability to use our services is at your sole risk. The functions of the webpages/website and or the product created for you are provided “as is” and “as available” for your use, without warranties of any kind. LemonHub will not be liable to the client or any third party for any damages, including, but not limited to, any lost profits, lost savings, loss of data, business interruption, or incidental, consequential or special damages arising out of the operation of or inability to operate these web pages/website, products, however caused.

Our maximum liability to you for all damages arising out of reasons other than the ones mentioned in this document related to any products and services we offer, regardless of the form of legal action that imposes liability (whether in contract, equity, negligence, intended conduct, tort or otherwise) will be limited to the total price that you paid to us to purchase such products or services. Such limit will apply in the aggregate to all of your claims, actions and causes of action of every kind and nature.

These Terms and Conditions shall be governed by the laws of Cyprus. Any disputes relating to these Terms and Conditions shall be subject to the jurisdiction of the courts of Cyprus.

FORCE MAJEURE

No delay, failure or omission by Lemonhub to carry out or observe any of its contractual obligations will be deemed to be a breach if and for as long as such delay, failure or omission arises from any cause beyond the reasonable control of LemonHub.

INTELLECTUAL PROPERTY

We or our licensors own and control all of the copyright and other intellectual property rights in this website and the data, information, and other resources displayed by or accessible within the website.

Unless specific content dictates otherwise, you are not granted a license or any other right under Copyright, Trademark, Patent, or other Intellectual Property Rights. This means that you will not use, copy, reproduce, perform, display, distribute, embed into any electronic medium, alter, reverse engineer, decompile, transfer, download, transmit, monetize, sell, market, or commercialize any resources on this website in any form, without our prior written permission, except and only insofar as otherwise stipulated in regulations of mandatory law (such as the right to quote).

It is not permitted to distribute, disclose, or share this proposals with any third party without prior written consent from LemonHub. Additionally, any information provided by clients to LemonHub, whether through proposals, discussions, or during the course of service provision, is considered confidential and shall not be disclosed to any third party without the explicit consent of the client. LemonHub agrees to take all necessary measures to safeguard the confidentiality of client information and to use it only for the purposes agreed upon with the client
